Metro ASE (Metropolitan Association for Synagogue Executives) by-laws

PREAMBLE: Professionalism in a Temple Administrator/Executive Director is that combination of skills, humanism and devotion to Judaism that places the Temple Administration on the same team along with the rabbis, educators, cantors, and other workers serving their congregation and their communities. This person serves as the Administrative Head of the congregation and may participate in the development of, and is the vehicle for implementation of management policy decisions of the officers and trustees and for providing the day-to-day management of fiscal and administrative affairs; is responsible for providing the material, physical and environmental framework within which the congregation’s worship, educational, cultural and fellowship activities are carried on; provides administrative and personnel services to all paid employees; has direct hiring supervisory and termination jurisdiction over all administrative, clerical and maintenance personnel except those specifically assigned otherwise by the Board. In addition to serving his/her congregation, this person is a representative in the Jewish and general community of his/her congregation. As such, his/her personal and professional behavior shall at all times be of such an exemplary quality that it shall reflect credit upon his/her congregation and his/her profession. ARTICLE I NAME 1. The name of the Organization shall be: MASE (METROPOLITAN ASSOCIATION FOR SYNAGOGUE EXECUTIVES) ARTICLE II AFFILIATION 1. The organization shall be unaffiliated with any national, religious or secular bodies but shall maintain a cooperative attitude toward all organizations which share its goals. ARTICLE III PURPOSES The purpose of the organization is to: 1. Further professionalism of Temple Administrators/Executive Directors in the Metropolitan New York, New Jersey and Connecticut areas 2. Develop programs of service for the mutual benefit of members in those areas pertinent to their role as Administrator/Executive Director. ARTICLE IV MEMBERSHIP 1. The membership shall be from July 1 through June 30 of the following year. 2. Membership in the Organization shall be available to individuals employed as Administrative head, without regard to AFFILIATION of the congregation being served. 3. The applicant shall complete an application for membership in the Organization. 4. Membership shall EXPIRE ONE (1) YEAR after a member leaves employment for reasons other than retirement. 5. Honorary membership without vote, OR THE ABILITY TO HOLD OFFICE, shall be accorded retired colleagues. 6. Dues for membership in the Organization shall be established at a regular or annual meeting of the Organization. 7. The word “membership,” whenever used in the By-Laws, refers only to members in good standing. Members in good standing are those who are current in their dues commitments and act in accordance with these By-Laws. 8. Members are ENCOURAGED to maintain affiliation with the appropriate professional organization of their Synagogue/Temple movement. ARTICLE V MEETINGS 1. The Organization shall meet at least four (4) times per year; one of which shall be the annual meeting. 2. Meetings shall be for the purpose of conducting the business of the Organization, educating the members on their craft and the Jewish faith, and developing programs to benefit the congregations and their staffs. 3. The lesser of ten (10) or fifteen (15) percent of regular members of the Organization shall constitute a quorum. ARTICLE VI OFFICERS 1. The officers of the organization shall be the President, a Vice President, a Treasurer and a Secretary. 2. The President can serve for one (1), two (2) year term. 3. Officers shall be elected for a two (2) year term at the annual meeting, assuming their offices before the adjournment of said meeting. 4. Officers shall be limited to two (2) complete terms in the same position. They may also be eligible for one (1) term in another position. An Officer can serve a total aggregate of six (6) years after which time they must step down for two (2) years before they are eligible to serve on another position. ARTICLE VII COMMITTEES 1. The President may appoint ad hoc committees as deemed necessary. 2. The officers shall convene when necessary as an Executive Committee to conduct the business of the Organization. ARTICLE VIII NOMINATIONS AND ELECTIONS 1. The Nominating Committee SHALL BE composed of three (3) members: One (1) Past President and two (2) members (not Officers) CHOSEN BY THE MEMBERSHIP PRIOR TO THE LAST MEETING OF THE YEAR. Notice of this meeting shall be communicated to the membership not less than thirty (30) days prior. Members of the Nominating Committee are not eligible for election. 2. The Nominating Committee Report shall be communicated to the membership not less than thirty (30) days prior to the annual meeting. 3. The election of officers shall be conducted at the annual meeting by the current president. 4. In the event of a vacancy in any office for any reason, the Officers shall have the right to appoint from the membership, a member in good standing to fill the position until the annual meeting. This appointment shall be ratified by the membership at the next regular meeting. ARTICLE IX RULES 1. Anything not covered herein is covered by ROBERTS RULES OF ORDER.

The Immediate Past President, having successfully completed a full term as President, may serve as an ex-officio, non voting member of the Executive Committee for a single two (2) year term, immediately following the conclusion of their term as President.

ADVISORY COUNCIL
- There shall be an Advisory Council, the members of which shall serve as non-voting members of the Executive Committee.
- The Advisory Council shall be composed of four (4) members, all of whom shall be members in good standing of Metro ASE, and one member being selected from each of the four major branches of Judaism (Conservative, Orthodox, Reconstructionist, and Reform).
- Advisory Council members shall be elected for a two (2) year term at the annual meeting, assuming their offices before the adjournment of said meeting.
- Advisory Council members shall be limited to two (2) complete, consecutive terms in the same position. After at least one year has elapsed since the conclusion of his or her service as a member of the Advisory Council, he/she may be eligible for re-nomination for the same position.
